Terms of Service
These Terms of Service govern purchases from and use of services provided by J.I. Systems. By purchasing, accessing, or using a service, the customer agrees to these Terms and any written proposal, statement of work, or service agreement applicable to the engagement.
1. Services
J.I. Systems provides business systems diagnostics, technology consulting, workflow analysis, automation strategy, software and data integration recommendations, AI implementation support, reporting strategy, and related professional services. The purchased service and written scope control the specific deliverables.
2. Customer Responsibilities
The customer will provide timely, accurate, and complete information; reasonable access to relevant personnel and systems; required permissions; and prompt decisions or approvals. J.I. Systems is not responsible for delays or incomplete results caused by missing, inaccurate, or untimely customer information.
3. Fees and Payment
Unless otherwise agreed in writing, payment is due before work begins. Fees do not include third-party subscriptions, licenses, hosting, travel, hardware, taxes, implementation, or development beyond the stated scope.
4. Scheduling, Cancellation, and Refunds
Scheduling, cancellation, and refund rights are governed by the J.I. Systems Refund and Cancellation Policy published at the time of purchase and incorporated into these Terms.
5. Professional Judgment; No Guaranteed Outcome
Recommendations are professional opinions based on information reasonably available at the time. J.I. Systems does not guarantee revenue, savings, funding, sales, business growth, system uptime, cybersecurity, regulatory compliance, or any particular implementation outcome.
6. Intellectual Property
The customer retains ownership of its pre-existing data, documents, trademarks, and materials. J.I. Systems retains ownership of its pre-existing and independently developed methods, templates, software, frameworks, prompts, processes, know-how, and reusable components. Upon full payment, the customer receives a non-exclusive license to use final customer-specific deliverables internally unless a written agreement states otherwise.
7. Confidentiality
Each party will use reasonable care to protect the other party's non-public business information and will use it only for the engagement, except when disclosure is authorized, publicly available, independently developed, lawfully received from another source, or legally required.
8. Third-Party Products and Services
Third-party software, platforms, payment processors, cloud providers, APIs, and vendors are governed by their own terms and policies. J.I. Systems is not responsible for third-party outages, pricing changes, security incidents, product changes, or performance.
9. Limitation of Liability
To the fullest extent permitted by law, J.I. Systems will not be liable for indirect, incidental, special, consequential, exemplary, or lost-profit damages. J.I. Systems' aggregate liability arising from a specific purchased service will not exceed the amount actually paid to J.I. Systems for that service.
10. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law rules. Before filing a formal claim, the parties will first attempt in good faith to resolve the matter through written notice and direct discussion.
11. Changes; Severability; Entire Agreement
J.I. Systems may update these Terms prospectively. If a provision is unenforceable, the remaining provisions remain effective. These Terms, together with the applicable policy, proposal, statement of work, or service agreement, constitute the agreement concerning the purchased service.
